These Terms of Service ("Terms") are an agreement between you and newtwelve ("newtwelve," "we," "us"), a small business based in the United States. They govern your use of newtwelve strategist, the application available at strategist-production-cf58.up.railway.app, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
newtwelve strategist gives you a team of AI agents that help with social-media strategy. You chat with the agents, and they produce things like strategy advice, content ideas, hooks, captions, content plans, and readings of your analytics. The agents are powered by AI models from Anthropic (Claude). To generate responses, your chat messages, uploaded files and images, and data from any accounts you connect are sent to Anthropic's API. You can also optionally connect your Instagram professional account, and the Service can look at public social-media data to power insights and trend features.
The Service offers a free trial with a monthly message allowance, and paid subscriptions on Creator and Business tiers.
You own the content you submit to the Service, including your messages, uploaded files, and the material your agents help you create ("Your Content"). You grant newtwelve a license to host, store, and process Your Content in order to operate and provide the Service to you. That includes letting your AI team learn from Your Content so that your own agents give you better output over time.
Two clear limits on that license: we do not use one customer's private content to serve other customers, and we do not train our own foundation models on user content.
You are responsible for having the rights to anything you upload or submit.
AI outputs can be wrong, incomplete, or out of date. Everything the agents produce is a suggestion to help your work, not a statement of fact and not professional advice. The Service does not provide legal, financial, tax, or business advice. Review anything the agents produce before you rely on it or publish it, and use your own judgment. You are responsible for the content you publish.
When using the Service, you agree not to:
We respect intellectual-property rights and respond to notices under the Digital Millennium Copyright Act (DMCA).
You may stop using the Service and delete your account at any time from your profile settings. Deleting your account erases your personal data and cancels any active subscription. We may suspend or terminate your account if you violate these Terms, if we must do so to comply with law, or if we discontinue the Service. Where practical, we will give you notice first. Sections that by their nature should survive termination (including Sections 4, 5, and 10 through 15) survive.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI outputs will be accurate or reliable.
To the maximum extent permitted by law, newtwelve will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for all claims relating to the Service is capped at the amount you paid us in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify and hold newtwelve harmless from claims, damages, and reasonable expenses (including attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or of any third party's rights.
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. Courts located in California will have exclusive jurisdiction over disputes arising from these Terms, except where the law of your home jurisdiction gives you a non-waivable right to bring claims there.
We may update these Terms from time to time. If a change is material, we will notify you through the Service or by email before it takes effect. Continued use of the Service after a change takes effect means you accept the updated Terms. If you do not agree, stop using the Service and delete your account.
If any provision of these Terms is found unenforceable, the rest remain in full effect, and the unenforceable provision will be modified to the minimum extent needed to make it enforceable. These Terms, together with the Privacy Policy, are the entire agreement between you and newtwelve about the Service. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
